1. Scope, Incorporation, and Relationship to Other Policies

1.1 Scope

This Contribution License Policy (“Policy”) establishes the legal terms governing Contributions (as defined in Section 2) to projects owned, maintained, or operated by Androidacy, LLC (“Androidacy,” “we,” or “us”), a Delaware limited liability company. Contributions may be submitted through any channel, including Androidacy websites, GitHub repositories, GitLab repositories, API interfaces, email, or other development platforms designated by Androidacy.

1.2 Incorporation

This Policy supplements the Androidacy General Terms of Service (“ToS”) at androidacy.com/terms/ and is incorporated by reference into the ToS. By submitting a Contribution through any channel, you acknowledge that you have read, understood, and agreed to be bound by this Policy and the ToS. The act of submission constitutes your acceptance regardless of whether you have signed a separate agreement, and regardless of the submission channel used. Androidacy makes this Policy available at androidacy.com/contribution-license-policy/ and may additionally reference it in repository CONTRIBUTING files, pull request templates, and submission interfaces to provide constructive notice.

1.3 Conflict Resolution

Where any provision of this Policy conflicts with the ToS, the ToS shall control unless this Policy expressly and specifically provides otherwise. Where any provision of this Policy conflicts with the Privacy Policy on a matter of personal data processing, the Privacy Policy shall control.

1.4 Relationship to Other Policies

This Policy governs the intellectual property and licensing terms applicable to Contributions to Androidacy-owned projects. It does not govern:

(a) User-Generated Content such as reviews, ratings, comments, and submissions through open communication tools, which is governed by ToS Section 8;

(b) Feedback submitted through product interfaces, surveys, or direct communication, which is governed by ToS Section 9.5;

(c) Module submissions to the Androidacy Module Repository, which are governed by the Module Repository Policy at androidacy.com/module-requirements/; or

(d) Copyright infringement claims, which shall be submitted exclusively through the procedures set forth in the DMCA Policy at androidacy.com/dmca/.

Where a submission could fall under both this Policy and the Module Repository Policy, the Module Repository Policy governs to the extent of any overlap concerning module distribution, retention, and repository-specific rights.


2. Definitions

“Contribution” means any original work of authorship, including source code, object code, documentation, translations, design assets, configuration files, scripts, bug fixes, patches, test cases, and any other material intentionally submitted to Androidacy for incorporation into or improvement of an Androidacy-owned project. Submission of a Contribution is the act that creates binding obligations under this Policy.

“Contributor” or “you” means any individual or entity that submits a Contribution.

“Androidacy-Owned Project” means any software project, library, tool, application, framework, or other work of authorship that is owned, maintained, or operated by Androidacy, LLC, including projects hosted on third-party platforms such as GitHub under Androidacy’s organizational accounts.

“Excluded License” means any software license that requires, as a condition of use, modification, or distribution, the disclosure, publication, or licensing of Androidacy’s proprietary source code, server-side code, or other proprietary works. As of the effective date of this Policy, the following licenses are designated as Excluded Licenses:

(a) GNU Affero General Public License, version 3.0 only (AGPL-3.0-only);

(b) GNU Affero General Public License, version 3.0 or later (AGPL-3.0-or-later);

(c) Server Side Public License, version 1.0 (SSPL-1.0); and

(d) Any license imposing substantially similar source-disclosure obligations upon network interaction or provision of the licensed work as a service.

Androidacy may amend the Excluded License designations in accordance with the amendment procedures set forth in Section 10.1 of this Policy.


3. License Grant and Ownership

3.1 License Grant

By submitting a Contribution, you grant Androidacy a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable, transferable, non-exclusive license to use, reproduce, modify, adapt, prepare derivative works of, distribute, publicly display, publicly perform, and otherwise exploit the Contribution, in whole or in part, in any form, medium, or technology now known or hereafter developed, for any purpose, without compensation, attribution, or further approval.

3.2 Patent License

With respect to any patent claims owned or controlled by you that are necessarily infringed by your Contribution alone or by the combination of your Contribution with the Androidacy-Owned Project to which it was submitted, you grant Androidacy a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable, fully sublicensable license to make, have made, use, sell, offer for sale, import, and otherwise transfer or dispose of the Contribution and any work incorporating the Contribution. This patent license applies only to patent claims licensable by you that are necessarily infringed by your Contribution as submitted, and does not extend to claims that would be infringed only as a consequence of further modification of the Contribution by Androidacy or any third party.

3.3 Scope of Grant

The licenses granted in Sections 3.1 and 3.2 shall be construed as broadly as permissible under applicable law. Where applicable law limits or qualifies any right granted herein, the grant shall be construed to the maximum extent permitted.

3.4 Retention of Ownership

You retain all right, title, and interest in and to your Contribution, subject to the licenses granted in Sections 3.1 and 3.2. This Policy does not transfer ownership of any intellectual property.

3.5 Moral Rights

To the fullest extent permitted by applicable law, you waive and agree not to assert any moral rights (including rights of attribution, integrity, and disclosure) in your Contribution against Androidacy or its successors, assigns, licensees, or sublicensees. Where moral rights are not waivable under applicable law, you agree not to enforce such rights in a manner that restricts Androidacy’s exercise of the licenses granted in Sections 3.1 and 3.2. This non-enforcement obligation binds you and, to the extent transferable under applicable law, your heirs, successors, and assigns.

3.6 No Obligation to Use

Androidacy is under no obligation to incorporate, use, display, or distribute any Contribution. Androidacy may, in its sole discretion, decline, remove, modify, or cease using any Contribution at any time, for any reason, without notice or liability.


4. Contributor Representations and Warranties

4.1 Right to License

You represent and warrant that:

(a) You are the sole author and owner of the Contribution, or you have obtained all rights, licenses, and authorizations necessary to submit the Contribution and to grant the licenses set forth in Sections 3.1 and 3.2;

(b) The Contribution does not infringe, misappropriate, or otherwise violate any intellectual property right, proprietary right, privacy right, or other right of any third party;

(c) The Contribution does not contain any material subject to an Excluded License or any license that would impose obligations on Androidacy beyond those contemplated by this Policy;

(d) The Contribution does not contain malicious code, malware, spyware, or any component designed to harm, exploit, or degrade the performance of any system;

(e) All information you provide in connection with the Contribution, including authorship, licensing status, and description, is accurate, complete, and not misleading; and

(f) You have the legal capacity and authority to enter into this agreement and to grant the rights set forth herein. If you are submitting a Contribution on behalf of an entity, you represent that you have authority to bind that entity;

(g) If you are employed or engaged by a third party, your Contribution does not violate any obligation you owe to your employer or any other party, including any invention assignment, non-compete, or confidentiality agreement, and either (i) your employer has waived any claim to intellectual property rights in your Contribution, (ii) your employer has executed a separate corporate contributor agreement with Androidacy, or (iii) your Contribution was not made within the scope of your employment or engagement; and

(h) You are not a person or entity subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), and the Contribution does not originate from a jurisdiction subject to comprehensive U.S. trade sanctions or export restrictions.

4.2 Ongoing Representations

The representations and warranties in Section 4.1 are made at the time of submission and remain in effect for as long as the Contribution is used by Androidacy or any licensee or sublicensee.

4.3 Non-Confidential Submissions

All Contributions are non-confidential. Androidacy has no obligation to maintain the confidentiality of any Contribution, regardless of any markings, legends, or designations applied by the Contributor.


5. Licensing Compatibility

5.1 Third-Party Materials

If your Contribution incorporates or is derived from materials subject to third-party licenses, you must identify such materials and their applicable licenses at the time of submission. You warrant that (a) such licenses permit the grant of rights set forth in Sections 3.1 and 3.2, and (b) Androidacy’s use of the Contribution in accordance with this Policy will not violate the terms of any third-party license.

5.2 Excluded Licenses

Androidacy maintains a blanket refusal policy on Contributions that are subject to an Excluded License, as defined in Section 2. Contributions submitted under or incorporating material subject to an Excluded License will be rejected.

5.3 License Conflicts

Where a conflict exists between the terms of a third-party license applicable to materials within a Contribution and this Policy, Androidacy retains the sole right to determine the appropriate treatment, including accepting the Contribution subject to the third-party license terms, requiring the Contributor to remove or replace the conflicting materials, or rejecting the Contribution in its entirety. Nothing in this Policy purports to override or supersede the terms of a valid third-party license applicable to materials within a Contribution.

5.4 Additional Terms

Androidacy reserves the right to specify additional terms applicable to Contributions to specific projects. Such additional terms will be published in the project’s repository or documentation and will supplement, not override, this Policy.


6. Contributor Compensation

6.1 No Expectation of Compensation

Contributors receive no compensation for Contributions unless expressly agreed in a separate written agreement executed by both the Contributor and Androidacy prior to submission.

6.2 Creator Payment Program

Androidacy may, in its sole discretion, operate an invitation-only Creator Payment Program to compensate selected Contributors. Eligibility, payment terms, and program duration are determined by Androidacy in its sole discretion. No Contributor has an entitlement to participate, and Androidacy may modify, suspend, or terminate the program at any time without notice or liability. Participation requires a separate written agreement.


7. Indemnification

7.1 Indemnification Obligation

You agree to indemnify, defend, and hold harmless Androidacy, its officers, directors, members, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

(a) Your Contribution, including any claim that the Contribution infringes, misappropriates, or violates any third-party right;

(b) Any actual or alleged breach by you of any representation, warranty, or obligation under this Policy; or

(c) Your violation of any applicable law or regulation in connection with a Contribution.

7.2 Cooperation

Upon Androidacy’s request, you shall cooperate fully in the defense of any claim subject to indemnification, including providing documents, information, and testimony. Androidacy shall have the right to control the defense and settlement of any such claim, provided that Androidacy shall not enter into any settlement that imposes non-monetary obligations on the Contributor or that includes an admission of liability on the Contributor’s behalf without the Contributor’s prior written consent, such consent not to be unreasonably withheld.

7.3 Survival

The indemnification obligations in this Section 7 survive termination of your relationship with Androidacy and remain in effect for the duration of any claim arising from a Contribution submitted during the term.


8. Limitation of Liability

8.1 Disclaimer of Warranties

Androidacy provides its projects and services on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, or absence of defects.

8.2 Limitation on Damages

To the maximum extent permitted by applicable law, in no event shall Androidacy be liable to any Contributor for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, arising out of or relating to this Policy, any Contribution, or the use or inability to use any Androidacy project, regardless of the theory of liability.

8.3 Cap on Liability

To the maximum extent permitted by applicable law, Androidacy’s total aggregate liability arising out of or relating to this Policy shall not exceed the greater of: (a) one hundred U.S. dollars (USD $100.00), or (b) the total amounts paid by the Contributor to Androidacy during the twelve (12) months immediately preceding the event giving rise to liability.

8.4 Exceptions

Nothing in this Section 8 excludes or limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, (c) any liability that cannot be excluded or limited under applicable mandatory law, including mandatory consumer protection statutes in the European Union, United Kingdom, or Australia, or (d) Androidacy’s willful misconduct.


9. Contribution Removal

9.1 Androidacy’s Rights

Androidacy reserves the right to refuse, reject, remove, or disable access to any Contribution at any time, for any reason, with or without notice.

9.2 Effect of Removal

Removal of a Contribution from an Androidacy-owned project does not terminate or affect:

(a) The licenses granted under Sections 3.1 and 3.2, which are perpetual and irrevocable and survive removal in their entirety, including with respect to copies, derivative works, and distributions made before or after removal;

(b) Androidacy’s right to retain archival copies for purposes of legal compliance, dispute resolution, and record-keeping; or

(c) Any provision of this Policy that by its nature survives removal, including Sections 3, 4, 7, 8, and 10.


10. General Provisions

10.1 Policy Modifications

Androidacy may modify this Policy at any time. For material modifications, Androidacy shall provide at least thirty (30) days’ advance notice by posting the revised Policy and, where practicable, by email notification. Continued submission of Contributions after the effective date of a modification constitutes acceptance of the revised Policy. If you do not agree to a modification, your sole remedy is to cease submitting Contributions.

10.2 Governing Law

This Policy shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.

10.3 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Policy or any Contribution shall be resolved in accordance with the dispute resolution provisions set forth in ToS Section 26, including binding arbitration, class action waiver, and the small claims court exception, which are incorporated by reference as though fully set forth herein.

10.4 Severability

If any provision of this Policy is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

10.5 Assignment

Androidacy may assign its rights and obligations under this Policy to any party at any time without notice to or consent of the Contributor. Contributors may not assign their rights or obligations under this Policy without Androidacy’s prior written consent.

10.6 Entire Agreement

This Policy, together with the ToS and all policies incorporated therein, constitutes the entire agreement between you and Androidacy with respect to the subject matter hereof and supersedes all prior and contemporaneous communications, agreements, and understandings, whether written or oral.

10.7 No Waiver

Androidacy’s failure to enforce any right or provision of this Policy shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Androidacy.

10.8 Limitation Period

Any claim arising out of or relating to this Policy or any Contribution must be commenced within one (1) year after the cause of action accrues, or such claim is permanently barred. This limitation period applies to the maximum extent permitted by applicable law and does not override mandatory limitation periods imposed by applicable statutes that cannot be contractually shortened.

10.9 Electronic Records

You acknowledge and agree that this Policy and all notices, agreements, and other communications delivered electronically satisfy any legal requirement that such communications be in writing. Your electronic submission of a Contribution shall be deemed to satisfy any signature requirement under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq., the Uniform Electronic Transactions Act (UETA), and any applicable state or international equivalents.

10.10 Force Majeure

Androidacy shall not be liable for any failure or delay in performance of its obligations under this Policy caused by circumstances beyond its reasonable control, including natural disasters, acts of government, pandemics, war, terrorism, labor disputes, infrastructure failures, or disruptions to telecommunications or internet services.

10.11 Data Processing

Personal data collected in connection with Contributions is processed in accordance with the Androidacy Privacy Policy at androidacy.com/privacy/.

10.12 Notices

Androidacy may provide notices under this Policy by posting to the Policy URL, by email to the address associated with the Contributor’s account, or by any other method reasonably calculated to provide actual notice. Notices from Contributors to Androidacy must be sent to the contact addresses specified in Section 11.
